Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AI-QUANT quantitative trading platform (“the Platform”), including our website, dashboard, APIs, mobile applications, and engine services, provided by Honeypotz Inc., a Delaware corporation with offices at 8th The Green STE R, Dover, DE 19901 (“Honeypotz,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Institutional Use Only

The Platform is designed for institutional, professional, and accredited investors. By using AI-QUANT, you represent and warrant that:

• You are a qualified institutional buyer (QIB), accredited investor, or professional trader as defined under applicable securities laws;
• You have the financial sophistication and risk tolerance to engage in quantitative trading strategies spanning equities, options, and futures;
• You understand that algorithmic trading carries substantial risk of loss and that past performance does not guarantee future results.

2. Account Registration & Security

Access to the Platform requires an invitation and provisioning by our team. You are responsible for:

• Maintaining the confidentiality of your API keys, OAuth tokens, and credentials;
• All activity occurring under your account, including orders placed through connected broker APIs (Schwab OAuth 2.0 and any future integrations);
• Notifying us immediately of any unauthorized access or security breach at aiquant@honeypotz.net.

3. Platform Services

AI-QUANT provides the following core services, subject to the terms herein:

• Multi-engine quantitative execution — distributed C++ engine instances for real-time order routing and hedging;
• WebSocket-enabled dashboard — live P&L, position monitoring, and risk metrics via browser and native apps;
• Mobile applications — native iOS and Android apps with biometric authentication and push notifications;
• On-premises deployment — Ansible and shell-script provisioning for enterprise Linux environments;
• Over-the-air (OTA) distribution — direct IPA/APK delivery for mobile clients outside public app stores.

4. Broker Integration & Trading Authorization

The Platform connects to third-party broker APIs. You acknowledge that:

• AI-QUANT does not hold, custody, or transmit client funds. All assets remain with your designated broker(s);
• You are responsible for configuring order limits, risk parameters, and hedging rules within the Platform;
• Honeypotz is not a registered broker-dealer, investment adviser, or exchange. The Platform is a technology tool for trade execution automation;
• We do not provide investment advice, recommendations, or solicitations. All trading decisions are yours alone.

5. Data & Intellectual Property

All software, algorithms, documentation, and design elements within the Platform are the exclusive intellectual property of Honeypotz Inc., protected by U.S. and international copyright, trademark, and trade secret laws.

You retain ownership of your trading data, positions, and strategy configurations. By using the Platform, you grant Honeypotz a limited, non-exclusive license to process this data solely for the purpose of providing the Platform services.

6. Fees & Payment

Platform access is subject to institutional pricing terms negotiated during provisioning. Fees may include:

• Per-instance engine licensing fees (billed monthly or annually);
• Premium support and SLA-based response commitments;
• On-premises deployment and configuration services.

All fees are non-refundable unless otherwise agreed in writing.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEYPOTZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Market data latency, broker API outages, and network disruptions may affect execution quality.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEYPOTZ INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.

Our aggregate liability for any claim arising from these Terms shall not exceed the fees paid by you to Honeypotz in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Honeypotz Inc. and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

10. Termination

Either party may terminate access to the Platform with thirty (30) days’ written notice. Honeypotz may suspend or terminate access immediately if you breach these Terms, violate applicable securities laws, or engage in activity that could harm the Platform’s integrity or other users.

Upon termination, your license to use the Platform ceases. Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes through informal negotiation for a period of thirty (30) days.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and an in-platform notice at least thirty (30) days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
